These Terms of Use ("Terms") are a legal agreement between you and Iron Notes, LLC ("Iron Notes," "we," "us," or "our") governing your use of the Iron Notes mobile application and related services (the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use Iron Notes
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements and that the information you provide is accurate.
2. What the Service does
Iron Notes records work calls you choose to record and generates summaries, action items, and reminders ("recaps"). Recaps are provided as a convenience and may contain errors or omissions. They are not a verbatim record and should not be relied on as the sole record of any conversation, agreement, or commitment.
3. Recording, consent, and your responsibility
You are solely responsible for lawful recording. Laws governing the recording of calls and conversations vary by jurisdiction. Some require that all parties consent to being recorded. You are solely responsible for knowing and complying with all laws that apply to you and to the people you communicate with, and for obtaining any consent that the law requires before recording.
You represent and warrant that your use of the Service, including every call you record, will comply with all applicable laws. You will not use the Service to record any call where doing so would be unlawful, and you will obtain any legally required notice or consent from other parties.
Indemnification. You agree to indemnify, defend, and hold harmless Iron Notes and its owners, employees, contractors, and partners from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your recording of any call or conversation, (b) your failure to obtain any required consent, or (c) your violation of these Terms or of any applicable law. This obligation survives termination of your account and these Terms.
4. Acceptable use
You agree not to use the Service to:
- violate any law, regulation, or third-party right;
- record calls unlawfully or without any legally required consent;
- harass, harm, defraud, or deceive any person;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems; or
- reverse engineer, resell, or misuse the Service.
5. Subscriptions, billing, and cancellation
Iron Notes may offer free and paid plans. Paid plans are sold as auto-renewing subscriptions and are billed through your Apple App Store account.
- Auto-renewal. Your subscription automatically renews at the end of each billing period unless you cancel at least 24 hours before the period ends. Your Apple account is charged for renewal within 24 hours before the current period ends.
- Managing and cancelling. You can manage or cancel your subscription in your device's Settings > [your name] > Subscriptions. Cancelling stops future renewals; you keep access until the end of the current paid period.
- Free trials and promotions. If a free or discounted period is offered, any unused portion is forfeited when you purchase a subscription, where applicable.
- Refunds. Payments are handled by Apple and are subject to Apple's refund policies. We do not separately process App Store refunds.
- Price changes. We may change subscription prices. Changes apply to future billing periods, and we will provide notice as required.
6. Your content and license to operate
Your recordings and recaps belong to you. You grant Iron Notes a limited license to process, store, and transmit your recordings and related content solely to provide and improve the Service as described in our Privacy Policy. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
7. Third-party services
The Service relies on third parties, including Apple and the AI providers that transcribe calls and generate recaps — AssemblyAI, Inc. (transcription) and Anthropic, PBC (recap generation) — as described in our Privacy Policy. Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that recaps will be accurate or complete, or that the Service will be uninterrupted or error-free. You are responsible for verifying anything important before relying on it.
9. Limitation of liability
To the fullest extent permitted by law, Iron Notes and its owners, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) fifty U.S. dollars (US$50).
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including recording responsibility, indemnification, disclaimers, and limitation of liability — will survive.
11. Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict-of-laws rules, except where a mandatory law in your place of residence requires otherwise.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above and, for significant changes, provide additional notice. Continuing to use the Service after changes take effect means you accept the updated Terms.
13. Apple App Store — additional terms
These Terms are between you and Iron Notes only, not with Apple, and Apple is not responsible for the Service or its content. Apple has no obligation to provide any maintenance or support for the Service. To the extent permitted by law, Apple has no warranty obligation with respect to the Service, and any claims relating to the Service are between you and Iron Notes. Apple is not responsible for addressing any claims relating to the Service, including product-liability, legal or regulatory, or intellectual-property claims. You must comply with the App Store Terms of Service and any applicable third-party usage rules. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
